End User License Agreement (EULA)

This End User License Agreement (“Agreement”) governs your use of the BrandStatusGuard software and any related documentation (collectively, the “Software”). By installing, accessing, or using the Software, you agree to be bound by this Agreement.

1. License Grant

Subject to your full compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable license to install and use one copy of the Software for your internal business purposes.

2. Restrictions

You may not:

• Modify, adapt, decompile, disassemble, reverse engineer or create derivative works of the Software, except as permitted by law
• Remove or alter any proprietary notices or labels within the Software
• Distribute, sublicense, lease, rent, or transfer the Software to any third party without our prior written consent

3. Ownership

All rights, title, and interest in and to the Software remain with BrandStatusGuard LLC. The Software is licensed, not sold, to you under this Agreement.

4. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. Limitation of Liability

IN NO EVENT WILL BRANDSTATUSGUARD LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE. OUR MAXIMUM LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE OR SERVICES GIVING RISE TO THE CLAIM.

6. Termination

This Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must immediately cease use of the Software and destroy or delete all copies in your possession or control.

7. Governing Law

This Agreement is governed by the laws of the jurisdiction of the company (BrandStatusGuard LLC), without regard to conflicts of law principles.

8. Entire Agreement

This Agreement constitutes the entire understanding between you and us concerning the Software, and supersedes any prior or contemporaneous agreements or understandings, whether oral or written.
